2. PROCESO DE COMPRAVENTA
Comprar una propiedad en España
Una vez haber
decido la propiedad que usted quiere comprar y acordado la oferta entre ambas
partes, la tramitación es la siguiente:

Paso 1: Nota Simple Informativo
Como todas las
propiedades quedan registradas en el Registro de Propiedad en su localidad,
necesitarás solicitar este documento para comprobar si los datos de la propiedad
estén correctos, los propietarios de la finca, si está libre de cargas y
hipotecas, demandas judiciales, etc.
Con este documento
puedes controlar todos los detalles para evitar sorpresas indeseadas a la hora
de firmar el contrato de arras / contrato de reserva.

Paso 2: Contrato privado de reserva / contrato de arras penitenciales
Este contrato
privado / contrato de arras está establecido entre las partes vendedora y
compradora en donde la parte compradora quiere dar un señal para reservar la
propiedad que quiere comprar antes de firmar la escritura publica de
compraventa.
Se firman ambas
partes para confirmar todos los detalles de la compraventa, como el precio de
venta definitivo, todos los datos de la finca, que se vende libre de cargas,
también se estipula una fecha para la firma de la escritura publica de
compraventa y otras condiciones.
Normalmente el
pago de un depósito es de un 10% del precio de venta. Hay que tener en cuenta de
la ley Art. Civil 1.454,
el cual dice:
“Si hubiesen mediado arras
o señal en el contrato de compra y venta, podrá rescindirse el contrato
allanándose el comprador a perderlas o el vendedor a devolverlas duplicadas”
*Es
conveniente de adjuntar con este contrato una copia de ultimo recibo de IBI
pagado y saber cuánto paga de comunidad (si hay).
En este momento se
decide el valor de la propiedad a escriturar, así para pagar menos impuesto de
transmisión. La mejor forma es informarse en la oficina liquidadora de la Junta
Andalucía. Ellos pueden indicar el valor mínimo de la propiedad en que se puede
escriturar. De esta forma se evitarán penalizaciones por haber declarado menos.

Paso 3: financiación una propiedad – prestamos / hipotecas - transferencias extranjeras
Financiación una
propiedad:
Al comprar una
propiedad de nueva construcción o de segunda mano, es importante de tener una
buena financiación.
Normalmente cuando
es una propiedad de nueva construcción (sobre planos), la promotora tiene unas
condiciones muy atractivas al respeto la financiación para sus compradores. Es
importante de estar muy bien informado sobre las condiciones de pago como hay
varios pagos, como primero el deposito/reserva, los pagos mensuales durante la
construcción hasta su terminación de obra y resto de pago antes de escriturar.
La promotora ha de
tener un seguro de garantía para sus compradores, así se asegura la promotora a
los compradores de poder devolver todos los pagos efectuados durante la
construcción en caso de no poder terminar la construcción por cualquier
circunstancia o cuando la promotora ha fallado por problemas económicos.
Cuando se firma un
contrato con la promotora, asegurase que está estipulado en el contrato este
seguro de garantía o sino que se anexa con un certificado aval del banco.
Prestamos/hipoteca
bancaria:
Euribor
(Europe
Interbank Offered
Rate), o sea,
tipo europeo de oferta interbancaria.
Se aplica como referencia de tipo de interés al calcular pagos de hipoteca en
España. Será utilizado en ambas hipoteca con tipo interés fijo o variable.
Es el tipo de interés aplicado a las operaciones entre
bancos de Europa; esto significa que es el porcentaje que paga como tasa un
banco cuando otro le deja dinero y es calculada
agregando una prima de riesgo a la tarifa baja fijada por el Banco Central
Europeo. (BCE) Entonces cuando usted tiene la tarifa Euribor + prima de riesgo,
este diferencial puede ser entre el 0.75% y el 2%. En el caso de las
hipotecas se suelen revisar cada 6 meses o un año. (en función de la contratada)
Es importante de
elegir y contratar un buen banco ya que cada banco tiene su forma de trabajar
diferente y condiciones al contratar una hipoteca.
En general el
banco requiere la siguiente documentación para solicitar una hipoteca: copia de
DNI/NIE, copia de contrato laboral, las últimas 3 nominas, copia de certificado
devolución de la renta (IRPF), contrato privado de reserva / arras, ultimo
recibo IBI pagado, Nota Simple Informativo de la finca, certificado de vida
laboral (Seg. Soc.), últimos extractos de banco, en caso de autónomo presentar
la declaración de Impuestos Actividades Económicas (IAE) y última declaración de
IVA.
Para poder
conseguir un préstamo bancario, hace falta solicitar la Nota Simple Informativo
para confirmar si el propiedad no tiene otras cargas antes de poder tasar la
propiedad. Esta tasación lo hará un tasador que colabora con los bancos y es un
oficial licenciado para asegurar la tasación así el préstamo es seguro y legal.
El coste de una tasación puede variar entre 300-500 euros y será pagado por la
persona que lo ha solicitado.
Es conveniente de
saber que las hipotecas no tienen las mismas condiciones para residentes y
no-residentes. Suele ser que hay limites del préstamo como 60-70% sobre el valor
de la tasación para los no-residentes y los residentes de 80-100%. Una vez hecha
la valoración de la propiedad, ya queda en mano del banco para estudiar el caso
y decidirá si pueden dar o no dar le préstamo hipotecaria.
Cuando se consigue
el préstamo hipotecaria, hay tres tipos de seguros que necesita contratar para
su tramite final: seguro de vivienda por su contenido y continente, seguro de
vida y seguro del préstamo hipotecario. Estos costes de los seguros están
basadas en la edad, el importe del préstamo y puede variar banco a banco y la
compañía de seguros.
En el mismo día de
la firma de las escrituras de compraventa publica, escritura del préstamo
hipotecaria se firmaran ante Notaria. Generan varias gastos al escriturar la
escritura del préstamo hipotecaria.
-Comisión por
la apertura del préstamo hipotecaria: en generales un coste fijo para la
constitución de la hipoteca. Suele ser de 1% pero puede variar entre 0,5% a 2%
del valor del a tasación.
-Gastos de
Notaria por la escritura constitución de la hipoteca: como esta escritura se
firma ante de Notaria, se calcula por cláusulas y paginas, igual como firmar una
escritura de compraventa pública.
-Registrar la
escritura de la hipoteca: esta escritura va a estar registrada en el
Registro de Propiedad, para confirmar que hay una hipoteca existente sobre la
propiedad que has comprado. Así en la Nota Simple Informativo figura este
préstamo hipotecario.
-Impuestos de
Actos Jurídicos: Suele ser de 1,2% pero realmente depende de cada oficina
liquidadora de la región y depende el importe de la hipoteca.
-Gastos de
tramite después de la firma de las escrituras: este tramite lleva un
gestoría para asegurar el procedimiento correcto, toda su documentación que
conlleva hasta los pagos de impuestos y hasta el registro de estas escrituras.
Después de la firma en la Notaria, piden una provisión de fondos para esta
tramitación.

PASO 4: La firma de la escritura de compraventa publica
Cuando tienes un
abogado, el procedimiento está mucho mas fácil, seguro y más protegido contra
todos los problemas. En caso de que no estuvieras en España para firmar o cuando
tienes un representante legal y de confianza, esta persona podrí afirmar en su
nombre con una escritura de Poder. Esta escritura de Poder lo prepara ante la
Notaria y es un documento legal para la representación a l afirma de las
escrituras publicas para concluir la operación de compraventa.
Tenga en cuenta
que el Notaria no es igual que un abogado. Es un oficial licenciado y actúa con
buen fe ante todas las escrituras y legalizan todas las escrituras. El abogado
solo protege a su cliente durante todo el proceso y lo que contiene en las
escrituras.
Resumiendo todos
los gastos de una compraventa al comprar una propiedad, será de un coste de
10-15% sobre el valor sobre el precio de la compra.
-
Paso 5: Procedimiento y gastos derivados después de la firma de la escritura publica
-Notaria:
entre 300-600 euros (dependiendo el valor declarado en la escritura publica)
-Gastos de
Registro: 300-600 euros (dependiendo el valor declarado en la escritura
publica)
-Impuestos de
transmisión/ Actos Jurídicos: el gobierno regional ha subido los impuestos de transmisión desde 2012. Se calcula como las siguientes derramas:
El importe < 400 000 €: 8% ITP (impuestos sobre transmisiones patrimoniales)
El importe entre 400 000 € - 700 000 €: 9% ITP
El importe > 700 000 €: 10% ITP
Aquí un ejemplo: usted va a comprar una propiedad con valor de 725 000 €. El ITP es 61 500 €.
8% de 400 000 €: 32 000 €
9% de 300 000 €: 27 000 €
10% de 25 000 €: 2 500 €

Si usted va a comprar una plaza de parking privada como una propiedad independiente, se calcula como el siguiente:
El importe < 30 000 €: 8% ITP
El importe entre 30 000 € - 50 000 €: 9% ITP
El importe > 50 000 €: 10% ITP
Los
Actos Juridicos Documentados han subido también de 1% a 1,2%.
-Impuesto
Municipal de PlusValía: Es un impuesto del incremento de valor de la
propiedad desde su última transmisión de venta. Este impuesto del incremento se
llama el “Plus Valía” y puede variar entre 10-40% sobre el incremento de valor
anual de la propiedad. Para averiguar exactamente cuánto es este impuesto, es
informarse bien en la oficina del Ayuntamiento Municipal. Normalmente en una
operación de compraventa, lo paga según Ley la parte vendedora. Salvo pacto
contrario, en algunas ocasiones puede ser que ambas partes aceptan 50%-50% del
pago.
-Gastos de
abogado: En caso de contratación de un abogado, el coste suele ser de 1%
sobre el precio de compraventa.
*Deposito
de Retención: cuando compras una propiedad de un no-residente, ha de
retenerle un 3% del precio como deposito para la Hacienda. Se paga este impuesto
en nombre vendedor no-residente
como garantía contra varias deudas impositivas del vendedor no-residente y pagar
a vendedor el resto de el 97% del precio de venta.
Una vez que las
escrituras están registradas en el Registro de Propiedad, se puede decir que se
ha completado el procedimiento del a compraventa.
Tenga en cuenta,
cualquier cambio que surge en el préstamo hipotecario, como cancelación
anticipada o parcial de hipoteca, generalmente se pide una penalización sobre la
cantidad que se ha devuelto), todo estos cambios se firmaran ante Notaria y
conlleva otra vez gastos como de la Notaria, Gastos de Registro, etc.

2. BUYING PROCEDURE
Buying a property in Spain
Once you have decided the
property you wish to buy and agreed the offer between you and the seller, then
the procedure is as follows:
-
Step 1: Nota Simple Informativo
As all the properties are
registred in the Property Registry (Registro de la Propiedad) you should apply
this document (Nota Simple Informativo) in the Property Registry. You will find out about all
details of the property you want to buy, such as, description of the property,
the square meters, who the present owners are, all the debts if there are like
mortgage, legal claims and other charges against the property.
With this document you can
check all details to avoid surprises before you sign the pré-agreement (Contrato
de arras).
- Step 2: Pré-agreement/Private contract for deposit or down payment
This is a private contract (Contrato
de arras) between seller and buyer in which the buyer gives a deposit/down
payment to reserve the property before signing the public title deed.
Both
parties sign to confirm all details of the purchase, such as the definitive price
of transaction, details of the property, all details of both parties, property
sold with free of all charges, determine the date for signing the public deed and other conditions.
Normally the deposit / down
payment is of 10% of the full selling price. Bear in mind the law Art. Civil
1.454, which states:
"If they
had mediated earnest or signal in the purchase and sale contract, it may be
rescinded by the buyer to lose them or the seller to return duplicate"
There is one very important
point to take in account, i.e. when the buyer doesn’t comply the contract, then
the buyer will lose the given deposit. If it is the seller who doesn’t want to
go on with this sales operation, then in this case, the seller has to pay the
buyer double of the deposit.
*It would be also convenient
to enclose with the pré-agreement a copy of the latest paid bill of the yearly
property tax and to know how much is the community fees (if there is).
On this moment you have to
decide the declared property value in order to minimize the transfer tax. The
safest way is to get informed at the payment office of the Tax Office (Junta de
Andalucía) and they can tell you what value you can assign to the property. In
this way you will avoid heavy fines when it is under-declared.
- Step 3: Financing a property – Mortgages/Bank loans - Foreign transfers
Financing a property:
When you buy a new property
or second hand property, it is important to have a good finance.
Normally when
it is a new property (Off plan) the developer has an attractive financing
options for the purchasers. You have to make sure you know all terms and
conditions of the payments as there are several payments, such as deposit/down
payment, monthly payments during the construction till completion and the
payment of the balance when signing Public Title Deeds.
The developer must have a
guarantee insurance to assure the return of the total payments during the
construction in case of not being able to finish the construction for any
circumstance or when the promoter has failed due to problems economic.
When you
sign a private pré-contract, make sure this guarantee insurance is mentioned on it
or it is attached with a bank guarantee certificate.
Mortgages/Bank loans:
Euribor
(Euro Interbank Offered
Rate): is used as a reference interest rate to calculate mortgage
payments in Spain. It is used for both variable and fixed rate mortgages. The
majority of mortgages are variable rate.
Euribor is a Euro system
interbank lending rate determined by the key interest rate set by the European
Banking Federation. In other words, this is the
interest rate that banks are using to lend to each other and it is calculated by
adding a risk-premium to the base rate set by the European Central Bank.(ECB). So when you have the base
rate Euribor + a risk-premium between 0,75% and 2%. In the case of mortgages,
they are usually reviewed every 6 months or one year. (depending on the
contract)
It is important to choose
the right bank. Because every bank has different conditions, advantages,
requirements and costs.
In general the documents
required by the bank for a mortgage are: DNI/NIE, work contract, the last 3
paycheck stubs, the last income tax return (IRPF), pré-agreement or private of
down payment, last property tax bill (IBI) paid by seller, Nota Simple
Informativo to see if there are other loans or mortgages, Certificate of the
work history (Vida laboral), copy of records of your assets (bank statements),
local tax on economic activities (IAE) and last VAT tax declaration if you are
self-employed.
First of all it is required
a Nota Simple Informativo that confirms that the property does not have any
other unexpected debts attached to it, in order to value the property. This
valuation (Tasación) will be done through an appraiser (Tasador), he is a
licensed architect and collaborate with banks to ensure the value and the loan
will be all legal and safe. The cost of this valuation will be around 300-500
euros and paid by the person who applied for it.
In this case it is important
to know that a non-resident buyer gets usually a limited mortgage to around 60-70%
over the property valuation and a resident buyer can get 80-100% mortgage over
the property valuation. Once there is a valuation report, this will be studied
by the bank and decides if the mortgage is granted or rejected.
When the mortgage is
granted, there are three types of insurance to consider when arrange a mortgage:
general house and contents insurance, life insurance and mortgage insurance. The
costs of the insurance is based on your age and the amount of the mortgage loan
and can vary bank to bank and insurance company.
On the same day of signing
the title deed of the purchase, the mortgage will be declared before the Notary.
And there will be some fees involved for the mortgage.
-Mortgage opening fee:
normally a fixed fee for setting up the mortgage. Usually 1% but can be ranged
from 0,5% tot 2% of the value of the mortgage.
-Mortgage notary fee:
the mortgage deeds will be sign in the Notary and the cost is based on the
number of clauses just like signing a public deed of sale.
-Mortgage land registry
fee: the mortgage deed will be registered in Registro de Propiedad, as an
existence of a mortgage on the property you have bought. Later the mortgage will
appear on the Nota Simple Informativo for this property.
-Stamp duty mortgage:
This is a tax paid to the government and this cost depends from region to region
and depending on the amount of the mortgage. It is 1,2%.
-Procedure after signing
the mortgage deeds: this is a service that must be done by a company
(gestoria) who are specialized in arranging all the documents in order to
inscribe correctly the mortgage deed and the public title deeds of sale in the
Property Registry (as both title deeds are signed on same day). Normally they
ask a provision of funds in order to do whole the procedure.

- Step 4: Signing of the Public Title Deeds
If you have a
solicitor/lawyer, things will be much easier and protected against all problems.
In that case, when you are
not in Spain for signing or you have a legal representative, it is needed a
Power of Attorney. This Power of Attorney (prepared forms by the Notary) is a
legal document to authorize the legal representative to sign in your name the
Public Deeds (Escritura de compraventa) to conclude the purchase.
The notary is not a
solicitor /lawyer, it is an official of the State to guarantee the public title
deeds are all legal. Your solicitor/lawyer will protect you in all what contains
on the deeds.
To resume all the costs: an
average of costs when buying a property is between 10-15% of the purchase price:

-Transfer tax: the regional government has increased the Property Transfer Tax (ITP) since 2012. It is calculated according the following rate:
Any amount < 400 000 €: 8% ITP
Any amount between 400 000 € - 700 000 €: 9% ITP
Any amount > 700 000 €: 10% ITP
Hereby an example: you are purchasing a property of 725 000 €. The ITP is 61 500 €.

If you are purchasing a private parking space as an independent property, it will based as follow:
Any amount < 30 000 €: 8% ITP
Any amount between 30 000 € - 50 000 €: 9% ITP
Any amount > 50 000 €: 10% ITP
The stamp duty tax (Actos Juridicos Documentados) has been increased as well from 1% to 1,2%.
-Municipal tax:
this tax is on the increase of value of the property since its last sale. This
tax (Plus Valia) could be between 10% to 40% of annual increase in value of the
property. To find out exactly how much this tax is, asking to the municipal tax
office. Normally by law this tax must be paid by the seller. But in some
occasions it could be agreed, paying 50% seller - 50% buyer.
-In case you have a
solicitor/lawyer: charge around 1% of the property value.
*Tax deposit:
when you are buying a property from a non-resident, you must
retain a deposit of 3% tax to Townhall (Hacienda) in the seller’s name as
a guarantee against the non-resident seller’s various tax liabilities and pay
seller the rest of 97% of the sale price.
Once all the deeds are
registered in the Property Land Registry, then the procedure is totally
completed.
Take in mind, any changes in
the mortgage deed. Such as early cancellation (1%), mortgage partial
cancellation (usually a financial penalty on the related on amount that is paid
back early) or cancellation of the mortgage must be all signed before the Notary
and repeats all the costs like notary, registry fee, etc.
